Bright Minds Enters Exclusive License Agreement with the University of Illinois

VANCOUVER, BC – April 23, 2021 – Bright Minds Biosciences Inc. (CSE: DRUG) (the “Company”), a biotechnology company focused on developing novel transformative treatments for neuropsychiatric disorders, epilepsy and pain, is pleased to announce that, pursuant to the exercise of its option under the
Option Agreement (as herein defined), it has entered into an exclusive license agreement (the “License Agreement”) with the Board of Trustees of the University of Illinois (the “University”).

 

Pursuant to the License Agreement, the University has granted the Company an exclusive license (the “License”) to the inventions described in PCT/US2011/023535 and all counterpart patents related thereto and described in PCT/US2016/015019 and all counterpart patents related thereto (collectively, the “Inventions”). The Company had previously been evaluating the Inventions pursuant to an option agreement with the University dated March 26, 2020 (the “Option Agreement”).

 

In consideration for the License, the Company has agreed to: (i) pay the University a signing fee of USD$100,000, less USD$15,000 paid by the Company pursuant to the Option Agreement; and (ii) issue 63,000 fully-paid and non-assessable common shares in the capital of the Company (the “Payment
Shares”) to the University (part of which is received by the University on behalf of the University of North Carolina). Additionally, the Company will pay the University a royalty on net sales of products derived from the Inventions and a portion of all revenue received by the Company from sublicencees.

 

The Payment Shares are subject to a voluntary hold period of five years from the date of issuance.

Eight Capital acted as lead underwriter and sole bookrunner in connection with the Offering on behalf of a syndicate of underwriters including Stifel GMP, Beacon Securities Limited and Haywood Securities Inc. (collectively, the “Underwriters”).

 

Pursuant to the terms of the Offering, the Company issued 3,419,883 Units, including 116,883 Units issued pursuant to the exercise of the Underwriters’ over-allotment option, at a price per Unit of $7.57 for aggregate gross proceeds of $25,888,514.31. Each Unit consists of one common share (each a “Common Share”) and one-half of one common share purchase warrant of the Company (each whole common share purchase warrant, a “Warrant”). Each Warrant is exercisable to acquire one common share of the Company at an exercise price of $9.46 per Warrant until March 17, 2024, subject to adjustment and acceleration in certain events. The Company tested its lead compound in rodent models at the Center for Addiction Research, University of Texas Medical Branch.

 

The increase in drug overdose mortality that began in 2019 accelerated markedly during the COVID-19 pandemic in the United States, leading to the largest number of drug overdoses for a 12-month period ever recorded. The opioid use study used a validated model using male rats trained to stably self-administer fentanyl. This opioid self-administration model is considered the “gold standard” to investigate the neurobiology of drug addiction in rodents. The ability of a drug to suppress fentanyl intake predicts its potential to reduce continued opioid use in humans, a key OUD treatment goal.

 

The proprietary BMB compound dose-dependently suppressed fentanyl infusions in rats at potentially clinically relevant doses with the highest doses having a more than 50% reduction in fentanyl intake. Study Design and Preclinical Findings

 

The study was directed by leading researcher, Dr. Kathryn A. Cunningham, Director, Center for Addiction Research, University of Texas Medical Branch. The binge eating rodent study used a validated rat model where rodents were habituated to a high fat feeding paradigm. In particular, this rodent model displays the objective characteristics of a binge eating episode, in humans, with consumption of a large amount of high fat palatable food in a short period of time, but also the characteristics of loss of control during the episode. This model is predictive for human efficacy for compounds designed to control binge eating.

 

The proprietary BMB compound is a novel well characterized 5-HT2C agonist with no 5-HT2A or 5-HT2B agonist activity. Using lorcaserin as the reference compound, the BMB compound was tested at a range of potentially clinically relevant doses, and found to be comparable. Lorcaserin is a well characterized 5-HT2C agonist originally approved for the treatment of obesity, previously demonstrated to suppress binge eating behavior in this rodent model, and no longer on the market.

 

The BMB compound reduced binge intake to a similar extent as lorcaserin reduction. There was a clear dose response with the highest doses tested showing an approximate reduction in binge eating by 50%. (CSE:DRUG) (“Bright Minds” or the “Company”) announces the pricing of its previously announced underwritten marketed offering (the “Offering”) of an aggregate of 3,303,000 units of the Company (the “Units”) at a price of $7.57 per Unit for gross proceeds to the Company of approximately $25,000,000.

 

Each Unit is comprised of one common share of the Company (a “Common Share”) and one-half of one Common Share purchase warrant (each whole warrant, a “Warrant”). Each Warrant will entitle the holder thereof to purchase one Common Share at an exercise price of $9.46 for a period of 36 months from the closing date, subject to adjustment and acceleration in certain events. If, at any time following the closing of the Offering, the daily volume weighted average trading price of the Common Shares on the Canadian Securities Exchange (the “CSE”) equals or exceeds $13.25 per Common Share for any 10 consecutive trading days, the Company shall have the right to accelerate the expiry date of the Warrants to a date that is at least 30 trading days following the date of the Company issuing a press release disclosing such acceleration.
