Optimi Health Granted Amendment to Controlled Substances Dealer’s Licence

Request to modify quantities of psilocybin and psilocin receives approval from Health Canada.

VANCOUVER, BC — Optimi Health Corp. (CSE: OPTI) (OTCQX: OPTHF) (FRA: 8BN) (“Optimi” or the “Company”), is pleased to announce that a requested Amendment to its Controlled Substances Dealer’s Licence has been granted by Health Canada, enabling it to further expand the capacity to produce natural, GMP psilocybin at its Princeton, British Columbia facility, as well as introducing a provision allowing the Company to extract psilocin for use in clinical trials.

Optimi’s operational footprint now includes 20,000 square feet of state-of-the-art, technologically advanced aeroponics facilities dedicated to the cultivation of safe, high-quality psychedelic and functional mushrooms. Under the terms of the amendment, the Company is now permitted to possess a quota of up to 5000kg of dried psilocybin mushrooms – the equivalent of 10kg of psilocybin – and 100g of psilocin.

Optimi Labs Inc., a wholly owned subsidiary of Optimi Health, filed the amendment in March 2022 in order to ensure adequate supply for licensed companies undertaking molecular development research and Phase 2a and 2b clinical trials investigating the treatment of addictions and mental health conditions. The strategy is part of the Company’s goal to commercialize operations in 2022.

“This approval from federal health authorities for an effective doubling of our growing potential is an important milestone in Optimi’s planned year of commercialization,” said Optimi Health CEO Bill Ciprick. “Optimi prides itself on the efficacy of our ongoing dialogue with regulators working towards the mutual goal of ensuring the highest operational standards and the safety and quality of our various strains of GMP mushrooms for use by approved entities.”

Through its scalable production methods, Optimi Health is working to position itself as the sector’s leading supplier of vertically farmed, naturally sourced psilocybin mushrooms and extracts for use both by authorized private and public sector researchers and patients granted access by Health Canada via legal mechanisms such the Special Access Program and Section 56 exemptions to the Controlled Drugs and Substances Act (CDSA).

Unique Security and Advanced Cultivation Technology:

Optimi’s unique laboratory extraction methods for natural formulations are supported by advanced cultivation systems custom designed for biological efficiency and high-yield optimization, utilizing pure air exchange, compost, and high humidity controls to produce bio-sustainable fungi.

Further, the facility is classified as a Level 8 Security Environ with an allowance of $50 million CAD worth of product to be stored on site, making it fully compliant with any requirements under GACP, GMP, and as defined in the CDSA.

Optimi Health’s Grand Opening:

On Friday, May 27th, the Optimi Health executive team and advisory board will be welcoming guests and dignitaries from the psychedelic business space, the medical and public health fields, local and national politics, and the Indigenous community for a grand opening event and reception to inaugurate its Princeton, BC facility.

Optimi Health Provides Dealer License Update and Comments on Health Canada’s Amendments to the Special Access Program (SAP)

Optimi Health Provides Dealer License Update and Comments on Health Canada’s Amendments to the Special Access Program (SAP)

SAP amendment allows practitioners to request access to psychedelic drugs for patients with serious or life-threatening conditions on a case-by-case basis.

VANCOUVER, BC ( January 5, 2022) — Optimi Health Corp. (CSE: OPTI) (OTCQB: OPTHF) (FRA: 8BN) (“Optimi” or the “Company”), developers of a vertically integrated mushroom brand targeting functional and novel psychedelic compounds for the health and wellness sector, is pleased to report the successful completion of the Health Canada inspection on December 21, 2021. The Company is in close contact with the regulator and welcomes finalization of the process in the coming weeks. Additionally, Optimi commends Health Canada for taking an active leadership role in finding solutions for the ongoing Canadian mental health crisis including access to psilocybin for therapeutic purposes through the Special Access Program (SAP).

Background

In Canada, drugs are authorized for sale only once they have successfully gone through the drug review process, including evaluation of safety, effectiveness and quality. However, Health Canada’s SAP allows practitioners to request access to drugs that are not available in Canada for the emergency treatment of patients with serious or life-threatening conditions who have exhausted other treatment options. Due to regulatory changes made in 2013, restricted drugs have not been made available through the SAP.

Since then, clinical trials have been the only avenue by which the sale of a restricted drug could be authorized for patient treatment. While clinical trials remain the best mechanism to authorize the sale of drugs, there are barriers to patient participation including geography or lack of clinical trial recruitment.

Yet, there has been ongoing scientific research into the efficacy and safety of certain restricted drugs. In response, Health Canada has today announced a reversal of the regulatory changes made in 2013 to Part C of the Food and Drug Regulations and has restored potential access to restricted drugs through the SAP.

What the regulatory amendments mean for Canadians

The regulatory amendments will allow physicians to request patient access to psychoactive substances, like psilocybin and MDMA, for psychedelic-assisted therapy. Decisions will remain on a case-by-case basis and will be reserved for serious, treatment-resistant or life-threatening conditions. The amendments have the potential to positively affect the lives of people experiencing serious mental health conditions and end-of-life distress when other therapies have failed, are unsuitable or are unavailable in Canada.

“Optimi acknowledges the Trudeau government, former Health Minister Patty Hajdu, current Health Minister, Jean-Yves Duclos, Minister of Mental Health and Addictions, Carolyn Bennett, and officials within Health Canada’s Legislative and Regulatory Affairs Department for giving the public an opportunity to consult on this important program,” notes Bill Ciprick, Optimi’s CEO. “We believe the amendments will bring much-needed relief and comfort to the hundreds of veterans, first-responders and Canadians who will immediately benefit from psychedelic psychotherapy to help with treatment-resistant depression that is considered serious and life-threatening by their physician.”

Our vision

Upon approval of the Dealer’s license, Optimi’s vision is to be the leader in providing safe supply and the highest-grade GMP certified psilocybin across Canada and the world. We agree with Health Canada there should be continued research to test the efficacy and safety of  psychedelic drugs. Our first clinical trial to determine the safe and effective standardized micro-dose of psilocybin for mental health including anxiety and depression is currently awaiting Health Canada approval. Earlier last year, Optimi received a Section 56 exemption for research purposes and this initial trial will be conducted at the Bloom Clinic, which is Calgary’s first psychedelic assisted therapy centre.

“Optimi is committed to the safety and efficacy of our product, and we look forward to supplying Canadian and global institutions with the highest-quality psilocybin in the market,” said Mr. Ciprick.

The Company also announces it has issued 50,000 common shares, at a deemed price of $0.465 per share, subject to a hold period expiring May 5, 2022, in consideration of services provided.

Optimi Health Requests Final Inspection for Dealer’s License

Optimi Health Requests Final Inspection for Dealer’s License

VANCOUVER, BC (December 7, 2021) — Optimi Health Corp. (CSE: OPTI) (OTCQB: OPTHF) (FRA: 8BN) (“Optimi” or the “Company”), developers of a vertically integrated mushroom brand targeting functional as well as novel psychedelic compounds focused on the health and wellness sector, is pleased to announce it has substantially completed construction on its proposed Dealer’s License facility in Princeton, British Columbia and called for final site inspection.

The Optimi team has relentlessly endeavored to build world-class GMP capable facilities from the ground up. Since December of 2020, the Company has been heavily invested in completing its state-of-the-art facilities in full compliance with Health Canada’s Directive on Physical Security Requirements for Controlled Substances. As noted in the recently filed annual financials, as of September 30, 2021, $8,586,465 CAD of expenditures was incurred in connection with the construction of these facilities. Following on the Company’s facility update September 14, 2021, the schedule 8 security protocol is commissioned, Argus environmental control system is being installed, curbs and blacktop poured, interior clean walls are erect, HVAC units are mounted, and ancillary cultivation equipment has arrived on site.

Concurrent to the finalization of the dealer’s license submission the Company has now presented its analytical laboratory license for consideration and review. Optimi believes a healthy domestic regulatory environment is a critical and necessary driver of the rigorous safety and security regulations for licensed producers and builds confidence in local production quality and capacity. By adhering to Health Canada guidelines in the development of facilities and practices, Optimi believes it is positioned to exceed initial internal expectations for product excellence and delivery.

“Regulations are critical and necessary for building product safety and efficacy,” notes Company CSO Justin Kirkland. “With the tools we now have available, we are highly confident in our ability to isolate high purity natural psilocybin from our own mushroom harvest. We are looking forward to working with Health Canada, and other global regulatory agencies in order to deliver the finest all-natural products wherever possible.”

The Company has recently completed the purchase of research and development as well as analytical instrumentation which is poised to dramatically ramp up in-house productivity. Upon final approval by the onsite quality assurance team, Optimi will be able to provide assays to include potency testing by high-performance liquid chromatography including a diode array detector that allows for measuring multiple substance at multiple wavelengths (or components) simultaneously. Additional study capability includes potency, stability and identity testing utilizing thin layer chromatography, ultraviolet-visible spectroscopy, and mass spectrometry. The laboratory now provides an advanced ability to test for heavy metals and elemental impurities in compliance with guidelines put forth by the FDA, USP and ICH organizations to protect patients from the risks associated with heavy metal contaminants.

Michael Kydd, regulatory consultant to Optimi states, “The Company is clearly focused on respecting the regulatory process and by so doing, is positioning itself as an undisputed global supply leader through the development of one of Canada’s highest-quality GMP-capable facilities. The entire team looks forward to building strong relationships within national and international governments as the industry matures. In my opinion collaboration and communication define excellence, and the work we undertake today with Health Canada positions us to propel Optimi as an industry leader in standards and excellence around the world.”

Optimi Health CEO Bill Ciprick concludes, “I’m extremely proud of our recent and ongoing achievements. The senior leadership team has a strong history of operational and facility management in the cultivation of GMP-certified health products. That experience took time to build, and it now places Optimi Health in contention as a potential North American leader in the production of functional and medicinal mushrooms. Our common outlook is predicated on working together to optimize human development and fundamentally improve the physical, spiritual, and mental well-being of those impacted by serious mental health problems. It is potentially a massive sector, and with all that is going on around the world today, the need for improved health and wellness solutions has never been greater. Once again, our heartfelt thanks for the continued assistance of all our supporters as we grow this exciting and timely enterprise.”

• Halucenex’s Controlled Drugs and Substances Dealer’s Licence from Health Canada
(“Dealer’s Licence”) upgraded to include production and packaging amendments

Substances that can be awarded by Health Canada, which is anticipated to be a major
competitive advantage – with all 5 possible licence categories now granted
• Additions to Dealer’s Licence allow Halucenex to commence manufacturing of synthetic
and botanical psilocybin and other psychedelic compounds
• Growing process and additional synthetic product formulation to commence imminently,
alongside equipment commissioning , extraction and formulation protocols
• Manufacturing and sales capacity has the potential to unlock additional revenue streams
for Halucenex through the sale of finished psilocybin product to other licence holders
• Initial discussions underway with potential customers across Canada to use Halucenex’s
products in clinical trial and R&D settings
• Subject to favourable legislation, Halucenex could be one of very few companies that can
provide finished psilocybin to patients, doctors and clinics for medical purposes
• Amendments are expected to provide significant competitive advantages and allow the
Company to broaden its scope of work
• Additional R&D, clinical trial processes, comparative studies and extraction initiatives to
progress potential product development and licencing opportunities
• Additional R&D and genetic studies anticipated to provide strong basis for product
formulation and allow Halucenex to pursue licencing and joint venture opportunities

to allow for ongoing data collection, strengthened IP and potential government relations
initiatives
• Amended Licence provides strong foundation for Halucenex to lodge Clinical Trial
Authorisation (“CTA”) with Health Canada
• CTA lodgement expected to occur in the coming weeks – providing a strong basis for the
Company to progress phase II clinical trial
• Phase II clinical trial to test efficacy of psilocybin on treatment resistant PTSD expected to
commence Q2 CY2022

Creso Pharma Limited (ASX:CPH, OTC:COPHF, FRA:1X8) (‘Creso Pharma’ or ‘the Company’) is pleased to advise that wholly-owned, Canadian based psychedelics company, Halucenex Life Sciences Inc. (“Halucenex”) has secured an amendment to its Controlled Drugs and Substances Dealer’s Licence from Health Canada (“Dealer’s Licence”) on 29 November 2021 (refer ASX announcement: 16 August 2021).

The amendments allow the Company to now produce, package and assemble psychedelic substances including psilocybin, ketamine, LSD, salvia divinorum, harmaline, salvinorin A, and MDMA amongst others (“Approved Controlled Substances”).

The additions follow the receipt of an initial Dealer’s Licence in August 2021, allowing Halucenex to possess, sell, transport, deliver and conduct R&D on the Approved Controlled Substances. The final amendments provide Creso Pharma with the most comprehensive approvals that can be awarded by Health Canada in relation to controlled substances.
Following the receipt of the amendments, Halucenex intends to commence the growing of its own botanical psilocybin and manufacturing of synthetic psilocybin. This will allow for detailed comparative studies, formulation testing, internal clinical trials, additional extraction opportunities and the sale of finished goods and products to other licenced dealers unlocking another potential revenue stream for the Company.

Given the supply bottleneck of psilocybin for research purposes, Halucenex is witnessing a high level of demand for both botanical and synthetic psilocybin and has fielded a number of enquiries from potential customers. Once growing and formulation processes are complete, Halucenex will be well placed to progress the sale of its products to other licenced dealers across Canada. This is expected to unlock an additional revenue stream for the Company.

Further, should the legislation regarding the use of psilocybin and other controlled substances change, Halucenex would be able to provide both synthetic and botanic psilocybin to doctors, clinics and patients for medical purposes. Halucenex will also be able to conduct more in-depth R&D on both its own botanic and synthetic psilocybin. This will include extraction studies, product formulation and genetic studies, allowing the
Company to gain a much better understanding of psilocybin-based Active Pharmaceutical Ingredients and how these can be used across multiple delivery methods.

The Company is confident that further in-house studies will add to the growing body of evidence for the use of psilocybin and may lead to potential shifts towards reimbursement from large regulatory and government bodies. The ongoing R&D will also assist Halucenex to cater specific formulations for potential licencing and joint venture opportunities.
The licence amendment will provide a strong basis for the Company to lodge its Clinical Trial Authorisation with Health Canada to progress its planned phase II clinical trial to test the efficacy of psilocybin on treatment resistant Post Traumatic Stress Disorder (PTSD).

The Company continues to work through the application and expects to lodge the application with the regulatory body in the coming weeks. The amended Dealer’s Licence will be valid until 31 August 2022 and thereafter, be subject to Health Canada’s standard licence renewal process, which in is line with Health Canada’s standard policies.

Further details on the scope of the Dealer’s Licence are set out in the Company’s release dated 16 August 2021.

Commentary:
Halucenex CEO and Founder Mr Bill Fleming, added: “To be awarded the final components of our Dealer’s Licence from Health Canada is a major achievement for Halucenex. It follows extensive reviews of documentation and site security from the regulator, illustrating the high standard of our operations.

“The amendments provide Halucenex with the most comprehensive licence it could possibly obtain at this stage and is anticipated to unlock significant competitive advantages. We will now begin the steps towards synthetic psilocybin manufacture and botanical psilocybin growing immediately. Both of these initiatives have the potential to deliver a number of commercial and R&D benefits and will shape future
product development, clinical trials and potential licencing agreements. Further, this will allow the Company to leverage its extraction facilities and begin working towards completing our clinical trial authorisation with Health Canada.

”This development has placed us ahead of some of our competition and we look forward to expediting a number of activities to drive growth.”
-Ends

Way2Grow (W2G) Biopharma Corp. Receives Health Canada Approval Notice for Construction of a Controlled Substances Dealer’s Licence Level 8 Psychedelic Secure Environ and Psilocybin Production Campus

OSOYOOS, British Columbia, Nov. 17, 2021 (GLOBE NEWSWIRE) — via InvestorWire — Way2Grow Biopharma Corp. (“W2G” or the “Company”), a privately held therapeutic corporation existing under the laws of British Columbia, is pleased to announce approval of a Health Canada Dealer’s Licence Application, in which Health Canada issued notice to W2G to complete the construction of a Level 8 Secure Environ and Psilocybin Production Campus. A Health Canada Dealer Licence and production facility will allow W2G to procure psychedelics as well as propagate, cultivate, harvest and sell psychedelics to pharmacies, clinics and other licenced research facilities for allowable research purposes pursuant to the Controlled Drugs and Substances Act (the “CDSA”).

Licensing

W2G is pioneering a comprehensive Life Science Therapeutic Production Campus with the goal of researching, advancing and manufacturing life science therapeutics. W2G’s Therapeutic Production Campus supports small room, closed-loop, evidence-based therapeutic research and production. The Company’s pure cultivation approach is rooted in science, is empirically based, organically grown and evidence driven. W2G’s approach uses standardized tissue culture and micropropagation to cultivate and extract pure organic cannabis and psychedelic therapeutics. Completion of the Level 8 Controlled Substances Dealer’s Licence will allow W2G to cultivate, extract and store up to $30 million in value of psychedelics compounds, including psilocybin/psilocin (magic mushrooms), N, N-Dimethyltryptamine (DMT), Ololiuqui (Morning Glory), mescaline and peyote.

W2G will be the first comprehensive Life Science Therapeutic Production Campus specializing in psychedelic and cannabis production, micropropagation, organic cultivation, processing and therapeutic manufacturing in North America.  Approval of the Controlled Substances Dealer’s Licence allows W2G to procure controlled substances by synthesis, propagation, cultivation and harvesting of psychedelic substances. W2G will be permitted to sell psychedelic compounds to other licenced dealers, authorized hospitals, research facilities and academic institutions until such time that psychedelics are prescribed by authorized physicians.

To fulfill W2G’s innovative research plans in psychedelic formulations, the Company’s plans include EU-GMP-compliant facility construction to allow for the import and export of psychedelics therapeutics to expand evidence-based psychedelics research through global partnerships. W2G’s research plans include improving breeding programs, standardizing psilocybin production, and the examination of psychedelics’ combinative efficacy on treating certain health conditions.

W2G’s cultivation relies on a small, closed room approach to growing consistent organic medical psilocybin. Each W2G cultivar or spore starts with a consistent germplasm developed though natural breeding and tissue culture. The future of W2G germplasm development will integrate the use of advanced genomic and genetic engineering to produce novel biotechnologies. Each cultivation room operates under specific growing conditions to maintain optimal production and consistent quality of medicinal compounds.

W2G has pioneered a new and strategic comprehensive Life Science Therapeutic Production Campus by combining its expertise in organic cultivation technology with an experienced genetic advancement team, innovative pharmaceutical research plans and intellectual property development, coupled with the highest level of security.

“We are excited to enter this next phase of life science therapeutics, and we believe this unique combination will lead to the highest-quality targeted organic therapeutic products. As we enter this next phase of our company’s evolution, we will focus on building strategic partnerships to help disseminate our psychedelics research and to expand our distribution,” stated W2G CEO Jamie Filipuzzi.
