CHAMPIGNON PROVIDES CORPORATE UPDATE; ANNOUNCES NAME CHANGE, REBRANDING AND PLANNED SPIN OUT

VANCOUVER, British Columbia, June 12, 2020 – Champignon Brands Inc. (“Champignon” or the “Company”) (CSE: SHRM) (FWB: 496) (OTCQB: SHRMF), a human optimization sciences company with an emphasis on ketamine and psychedelic medicine, since commencing trading on March 2, 2020 has expanded its initiatives and rapidly executed on such initiatives to position the Company as a leading publicly traded psychedelic medicine company developing novel rapid onset treatments for depression, post-traumatic stress disorder (“PTSD”), and substance-use disorders (“SUD”) via the clinical delivery of ketamine and ketamine-derivatives. NAME CHANGE & CORPORATE REBRANDING

The Company also announces that it plans to change its name from Champignon Brands Inc. to Apotheosis Scientific Ltd., or such other name as the Company’s directors may determine to better reflect the Company’s business activities going forward. Concurrently with the name change, the CUSIP number and ISIN of the company’s issued and outstanding common shares may change. The effective date of the name change will be confirmed by the Company upon receipt of all required regulatory approvals.

Furthermore, the Company also plans to debut a new corporate website, investor presentation, and branding campaign alongside the effective date of its proposed name change.

CONTEMPLATED PLAN OF ARRANGEMENT (SPIN OUT)

In addition, the Company advises that it is contemplating a corporate reorganization by way of a plan of arrangement (the “Arrangement”) to liberate the value of its functional mushroom-infused consumer packaged goods (the “CPG Business”) division. Under the terms of the Arrangement currently being contemplated, the Company’s CPG Business would be spun out as a separate publicly listed reporting issuer (“Newco”).

The Company plans to announce a record date in connection with the Arrangement in due course and anticipates the record date will occur within Q3 of 2020. It is expected that upon closing of the Arrangement, each shareholder of the Company will receive common shares of Newco based on the amount of Company shares held on the record date.

(“Champignon” or the “Company”) (CSE: SHRM) (FWB: 496) (OTCQB: SHRMF), a human optimization sciences company with an emphasis on ketamine and psychedelic medicine, is pleased to announce the closing of its previously announced “bought deal” private placement (the “Offering“) of units of the Company (“Units“) for aggregate gross proceeds of $15,000,375 which includes the full exercise of the option granted to the Underwriters (as defined below).

A total of 17,647,500 Units were sold pursuant to the Offering at a price of $0.85 per Unit. Each Unit is comprised of one common share of the Company (a “Common Share“) and one-half of one Common Share purchase warrant of the Company (each whole warrant, a “Warrant“). Each Warrant entitles the holder thereof to acquire one Common Share (a “Warrant Share“) at a price of $1.15 per Warrant Share until June 11, 2022. CHAMPIGNON ANNOUNCES VOLUNTARY SHARE LOCK-UP; RETAINS GOLD STANDARD MEDIA, LLC FOR FINANCIAL MARKETING SERVICES

VANCOUVER, British Columbia, May 29, 2020 – Champignon Brands Inc. (“Champignon” or the “Company”) (CSE: SHRM) (FWB: 496) (OTCQB: SHRMF), a human optimization sciences company with an emphasis on ketamine and psychedelic medicine, today announces that certain shareholders have agreed to a voluntary resale restriction period covering 17,840,000 common shares extending the period of time before the shares become free trading to July 15, 2020. These shares were previously only subject to a statutory hold period.

The Company also announces that it has engaged Gold Standard Media, LLC (“GSM“) to provide marketing and consulting services to raise public awareness of the Company, with a specific emphasis on the Company’s North American clinical expansion. GSM is a limited liability company existing under the laws of the State of Texas with an office at 1102 S. Austin Ave, #110-283, Georgetown, Texas, USA.

The agreement (the “Digital Marketing Agreement“) with GSM is for an initial term of two years effective May 28, 2020. The Digital Marketing Agreement has an aggregate cost of US$300,000 (the “Consideration”). To the Company’s knowledge, GSM and its principals do not hold any securities of the Company. In addition, the Company has no plans to issue securities to GSM as whole or partial payment of the Consideration.

(the “Wellness Clinic”) further advancing the Company’s North American clinical expansion.

The Wellness Clinic owns and operates a state-of-the-art ketamine infusion treatment center located within the Mission Hospital’s Laguna Beach campus. This cutting-edge clinic is an authority in ketamine infusion therapy and is actively involved in research and complementary treatment protocols. The Initial Share Issuance shall be paid upon closing of the Acquisition, subject to a 12-month escrow, with 500,000 common shares released 6 months following the closing of the Acquisition and the remaining 500,000 shares released 12-months following the closing of the Acquisition. (“Champignon” or the “Company”) (CSE: SHRM) (FWB: 496), is pleased to announce that it has entered into an agreement with Canaccord Genuity Corp. (“Canaccord Genuity”) and Eight Capital (“Eight” and together with Canaccord Genuity, the “Co-Lead Underwriters”), to purchase, on a bought deal private placement basis, 11,765,000 units of the Company (the “Units”) at a price of $0.85 per Unit (the “Issue Price”) amounting to aggregate gross proceeds of $10,000,250 (the “Offering”). Each Unit shall be comprised of one common share of the Company (a “Common Share”) and one half of one common share purchase warrant of the Company (each whole warrant, a “Warrant”).  Each Warrant shall be exercisable to acquire one Common Share at a price of $1.15 per Warrant for a period of 24 months from the closing of the Offering.

The Offering will be conducted by a syndicate of underwriters (collectively, the “Underwriters”) led by the Co-Lead Underwriters. The Company has granted the Co-Lead Underwriters an option (the “Underwriters’ Option”) to purchase up to an additional 5,882,500 Units at the Issue Price. The Underwriters’ Option may be exercised in whole or in part upon written notice to the Company at any time up to 48 hours prior to the closing of the Offering.

The Company has agreed to pay the Underwriters a cash commission payable on the closing date of the Offering equal to 7.0% of the aggregate gross proceeds of the Offering (including proceeds from the exercise of the Underwriters’ Option) and to issue the Underwriters warrants (the “Broker Warrants”), exercisable to acquire, within 24 months from the closing of the Offering, in the aggregate, that number of Units which is equal to 7.0% of the number of Units sold under the Offering (including Units sold upon exercise of the Underwriters’ Option), at an exercise price per Broker Warrant equal to the Issue Price.
