Another treatment for PTSD and other mental illnesses, including schizophrenia and bipolar disorder, is the powerful antipsychotic quetiapine, which was developed by AstraZeneca (NASDAQ: AZN) and is sold under the name Seroquel. The drug has become wildly popular for several off label uses, including insomnia caused by PTSD; however, the adverse effects of the drug came into the spotlight through data obtained from the FDA’s Adverse Event Reporting System in 2017.

Of course, Seroquel isn’t the only prescription antidepressant that causes adverse effects. Prescription drugs for depression, anxiety, and PTSD all come with a list of common and severe side effects, which range from nausea and dizziness to loss of consciousness and suicidal ideation.

(the “Lead Underwriter”) pursuant to which the Lead Underwriter has agreed, on behalf of a syndicate of underwriters (collectively, the “Underwriters”), to purchase, on a bought deal basis pursuant to the filing of a short form prospectus, an aggregate of 13,158,000 units of the Company (the “Units”) at a price of C$1.90 per Unit (the “Issue Price”) for aggregate gross proceeds to the Company of C$25,000,200 (the “Offering”).

Each Unit shall consist of one subordinate voting share (each a “Subordinate Voting Share”) and one-half of one Subordinate Voting Share purchase warrant of the Company (each whole warrant, a “Warrant”). Each Warrant shall be exercisable to acquire one Subordinate Voting Share at an exercise price of C$2.45 per Subordinate Voting Share for a period of 3 years from the closing of the Offering, subject to a Warrant acceleration right exercisable by the Company if the daily volume weighted average trading price of the Company’s Subordinate Voting Shares on the NEO Exchange is greater than C$4.00 per Subordinate Voting Share for the preceding 20 consecutive trading days.

The Company has granted the Underwriters an option (the “Over-Allotment Option”) to purchase up to an additional 1,973,700 Units at the Issue Price, exercisable at any time, for a period of 30 days after and including the Closing Date, which would result in additional proceeds of C$3,750,030. (NEO: MMED) (OTCQB: MMEDF) (“MindMed” or the “Company”), the leading neuro-pharmaceutical company for psychedelic inspired medicines, is pleased to announce that it has agreed to increase the size of its previously announced bought deal financing led by Canaccord Genuity Corp. (the “Lead Underwriter”). The Lead Underwriter has agreed, on behalf of a syndicate of underwriters (collectively, the “Underwriters”), to purchase, on a bought deal basis pursuant to the filing of a short form prospectus, an aggregate of 15,800,000 units of the Company (the “Units”) at a price of C$1.90 per Unit (the “Issue Price”) for aggregate gross proceeds to the Company of C$30,020,000 (the “Offering”).

Each Unit shall consist of one subordinate voting share (each a “Subordinate Voting Share”) and one-half of one Subordinate Voting Share purchase warrant of the Company (each whole warrant, a “Warrant”). Each Warrant shall be exercisable to acquire one Subordinate Voting Share at an exercise price of C$2.45 per Subordinate Voting Share for a period of 3 years from the closing of the Offering, subject to a Warrant acceleration right exercisable by the Company if the daily volume weighted average trading price of the Company’s Subordinate Voting Shares on the NEO Exchange is greater than C$4.00 per Subordinate Voting Share for the preceding 10 consecutive trading days.

The Company has granted the Underwriters an option (the “Over-Allotment Option”) to purchase up to an additional 2,370,000 Units at the Issue Price, exercisable at any time, for a period of 30 days after and including the Closing Date, which would result in additional proceeds of C$4,503,000. The Over-Allotment Option is exercisable to acquire Units, Subordinate Voting Shares, and/or Warrants (or any combination thereof) at the discretion of the Lead Underwriter.

The Underwriters are to be paid a cash commission equal to 6% of the gross proceeds of the Offering and to receive Unit purchase warrants of the Company (the “Underwriters’ Warrants”) equal to 6% of the number of Units sold under the Offering, with each Underwriters’ Warrant being exercisable to acquire one Unit at the Issue Price for a period of 36 months from the closing of the Offering.

The Units will be offered by way of a short form prospectus to be filed in all provinces of Canada except Quebec. The Offering is expected to close on December 15, 2020 (the “Closing Date”), and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and stock exchange approvals, including the approval of the NEO Exchange and the applicable securities regulatory authorities. The Company will use best efforts to obtain the necessary approvals to list the Subordinate Voting Shares and the Warrant Shares on the NEO Exchange.

Microdose LSD Positive Regulatory Response

MindMed’s Phase 2a Proof of Concept study evaluating microdoses of LSD for the treatment of Adult ADHD has successfully reached an agreement on the study protocol with both the Swiss and Dutch health authorities. MindMed is working with our site coordinators in Switzerland and the Netherlands on our patient recruitment strategy and will provide updates on recruitment progress in due course. MindMed anticipates dosing to begin in patients in the second half of next year at both of our sites in Basel, Switzerland and Maastricht, Netherlands. MindMed’s clinical and technical operation teams are in the process of producing and preparing the GMP LSD material necessary to begin dosing for the Phase 2a commercial drug trial.

MindMed’s clinical and regulatory team has recently completed a pre-IND briefing package and submitted it last week to the FDA in preparation for a pre-IND call with the FDA in December. Data from a recently completed Phase 1 dose range finding study by the Liechti Lab together with multiple other Phase 1 studies conducted both in patients and healthy volunteers over the past 10 years helped define the dosing regimen proposed by MindMed to the FDA for the proposed Phase 2b clinical trial.

These efforts at FDA and our clinical strategy for LSD are being led by MindMed President Dr. Miri Halperin Wernli and her team of drug development experts and scientific collaborators. MindMed in partnership with the Liechti Lab will conduct this interim analysis of the Phase 2a clinical trial data in Q1 2021. MindMed Announces the Completion of Phase 1 Study Measuring Dosing Effects of LSD

NEW YORK, Nov. 2, 2020 /PRNewswire/ — MindMed (NEO: MMED,OTCQB: MMEDF), the leading psychedelic medicine biotech company in partnership with University Hospital Basel’s Liechti Lab announces the completion and publication of a Phase 1 study on the acute dose dependent effects of LSD. The completed Phase 1 study will help MindMed in dose-finding and the planning of future Phase 2 clinical trials of LSD in patients with anxiety disorders and other medical conditions.

Specifically, the Phase 1 study measured LSD dose-dependently induced subjective responses starting at microdoses (25 ug) up to experiential doses (200 ug). Maximal good drug effects were reached at a 100 ug dose. However, an experiential dose of 200 ug LSD was shown to induce greater ego dissolution than a lesser 100 ug dose. Ego-dissolution is thought to be one of the key therapeutic potentials of the psychedelic experience and psychedelic assisted therapy process.

Post-financing the Company now has cash reserves of CAD $50.1m (USD $37.8m) to enable continued progress of its clinical trial pipeline of psychedelic inspired medicines and experiential therapies.

The Company intends to use the net proceeds of the Offering for investment in its research and clinical development initiatives, including its 18-MC addiction treatment program derived from the psychedelic ibogaine, lysergic acid diethylamide (LSD) microdose program for Adult ADHD, Project Lucy focused on LSD experiential therapy for anxiety disorders, University Hospital Basel Liechti Lab research and development collaboration, its partnership with NYU Langone Health for a Psychedelic Medicine Research Training Program, and for general working capital and corporate development purposes.
