Novamind Divests Non-Core Retreat Investment

Company to focus on its growing network of clinics and clinical research sites in the U.S.

TORONTO, ON / August 11, 2021 / Novamind Inc. (CSE: NM | OTC: NVMDF | FSE: HN2) (“Novamind” or the “Company”), a leading mental health company specialized in psychedelic medicine, today announced that it has completed the sale of the Company’s investment in the Synthesis Institute, a leader in psychedelic retreats and practitioner training programs located in the Netherlands (“Synthesis”).

Novamind led Synthesis’ seed financing in 2019 with a strategic investment of €750,000 (the “Strategic Investment”). Pursuant to the terms of an agreement between Synthesis and Novamind, Synthesis purchased Novamind’s Strategic Investment for €1,200,000 yielding a 60 per cent return on investment.

“Novamind was a strategic investor in Synthesis at an early stage, helping to influence the company’s direction and expansion,” said Rachel Aidan, Chief Executive Officer of Synthesis. “We remain aligned in our common mission to increase access to safe, regulated psychedelic-assisted healing.”

Novamind realized gross proceeds of approximately CAN$1,760,000 from the sale of its Strategic Investment in Synthesis (“Sale Proceeds”). Including the Sale Proceeds, Novamind’s balance sheet is strengthened with a total of CAN$9,207,945 in cash and short-term investments, and no debt (unaudited figures as at August 10, 2021).

Novamind further announced that it has elected not to proceed with a proposed investment in the Circadia Center, a retreat company operating in Costa Rica. Exiting the Company’s investments in Synthesis and Circadia is a strategic decision that enables Novamind to focus on the expansion of its network of clinics and clinical research sites located in the United States.

Cedar Clinical Research to Host Phase IIb Trial for a Novel PTSD Treatment

The Bionomics study is titled “A phase IIb, randomized, double blind, two arm study to investigate the effects of BNC210 tablet formulation compared to placebo in adults with post-traumatic stress disorder (“PTSD”)”. Lifetime and past-year prevalence rates of PTSD among American adults are 8.3 percent and 4.7 percent, respectively1. PTSD is associated with a wide range of problems, including difficulties at work, social dysfunction and physical health problems. In 2019, BNC210 received a Fast Track Designation from the U.S. Food and Drug Administration (FDA), a process designed to facilitate the development, and expedite the review of drugs to treat serious conditions and fill an unmet medical need.

The New Clinic is centrally located along the Wasatch Front, where the majority of Utah’s population resides and will serve as a referral center for clients with treatment-resistant mental health conditions including depression, eating disorders, post-traumatic stress disorder (PTSD), and obsessive-compulsive disorder (OCD).

With the opening of the New Clinic, Novamind is on track to open four new locations in Utah by September 2021, doubling the size of its network to eight clinics. Through strategic acquisitions and accelerated organic growth, Novamind anticipates expanding across other US states by the end of 2021.

Novamind Welcomes Dr. Paul Thielking as Chief Scientific Officer

(CSE: NM | OTC: NVMDF | FSE: HN2) (“Novamind” or the “Company”), a leading mental health company specialized in psychedelic medicine, is pleased to announce the appointment of Dr. Paul Thielking as Chief Scientific Officer and Principal Investigator of Novamind.

In his new role, Dr. Thielking will oversee all aspects of the Company’s investigator-led studies, originating within Novamind’s best-in-class research sites, and leveraging its contract research organization (CRO) expertise to pursue additional clinical trial mandates from leading psychedelic drug developers. He will also lead the development of Novamind’s psychedelic therapy protocols for conditions including cancer-related depression and end-of-life anxiety, available as treatments for clients and educational programs for clinicians.

Dr. Thielking is board certified in psychiatry and hospice & palliative medicine and has an outstanding track record in innovative clinical program development and research initiatives. Dr. Thielking led the Huntsman Cancer Institute’s (“HCI”) psycho-oncology service at the University of Utah, where he also taught medical students, psychiatry residents and palliative care physicians. At HCI, he successfully integrated ketamine-assisted psychotherapy services within an outpatient oncology clinic. In his previous role as Associate Professor in the Department of Psychiatry at the University of Utah, Dr. Thielking developed the foundation for a new psychedelic-assisted therapy and research program. In 2020, Dr. Thielking completed the California Institute of Integral Studies’ Certification of Psychedelic Therapy and Research.

Dr. Thielking is uniquely positioned to lead Novamind in the role of Chief Scientific Officer. He is currently leading exciting new research initiatives, including a first-of-its-kind pilot study to administer psilocybin in a group setting for cancer patients with depression. Cancer patients have significantly higher rates of depression than the general population, and depression is associated with reduced quality of life, increased physical distress, increased desire for hastened death, and higher suicide rates. He is also the Co-Investigator on a study to evaluate the potential role of ketamine in opioid use disorder. In what’s been referred to as a “silent epidemic,” 70 percent of worldwide deaths attributed to drug use are related to opioids, according to the World Health Organization1.
