Core One Labs Signs Letter of Intent to Acquire Vocan Biotechnologies

Vancouver, British Columbia, Canada – October 7, 2020 – Core One Labs Inc. (CSE: COOL), (OTCQX: CLABD), (Frankfurt: LD62, WKN: A2P8K3) (the “Company”) is pleased to announce it has entered into a Letter of Intent (the “LOI”) dated effective October 1, 2020 to acquire all of the outstanding share capital of Vocan Biotechnologies Inc. (“Vocan”).

Vocan is a genetic engineering and biosynthesis research firm developing a proprietary fermentation system for the production of psilocybin API.  Vocan’s mission is to use science and technology to advance the knowledge of natural-based medicines for the treatment of mental health illnesses, including addictions. Vocan’s team of scientists, specializing in protein expression and biosynthetic fermentation, have discovered a patentable method of producing psilocybin, the active ingredient in psychotropic mushrooms, and its technology will produce cGMP API grade psilocybin, which can be used by pharmaceutical companies, API manufacturers and medical research organizations conducting clinical trials.  Vocan’s management expects that the unique optimized DNA construct and producer strain will allow for time efficient and cost-effective cGMP API grade psilocybin at commercial scale.  Psilocybin production methods developed by Vocan could provide more affordable access to organizations looking to acquire GMP API grade psilocybin.

Dr. Jan Burian, Founder and CTO of Vocan, is a successful biochemist and molecular biologist with extensive knowledge and an exclusive skill set in fermentative API-grade research, development and production. He has been cited in numerous academic publications.  Dr. Burian previously held a site directorship with Pfizer Canada where he was responsible for a vaccine manufacturing facility that relied on his advanced fermentation techniques.

Dr. Hancock and Dr. Burian first began collaborating over twenty years ago and together bring a unique combination of broad scientific know-how and skill as they get set to take Vocan’s exclusive psilocybin production capabilities to commercial scale.

Terms of the LOI

Under the terms of the LOI, in consideration for all of the outstanding share capital of Vocan, the Company is expected to issue 23,500,000 common shares (the “Consideration Shares”), and 4,000,000 common share purchase warrants (the “Consideration Warrants”), to the existing shareholders of Vocan.  Each Consideration Warrant will be exercisable to acquire an additional common share of the Company at a price of $0.30 for a period of twenty-four months.

In addition to the Consideration Shares, and the Consideration Warrants, the existing shareholders of Vocan will also be eligible to receive bonus payments of up to 5,000,000 common shares (the “Bonus Shares”).  The Bonus Shares will be issuable in two tranches, of which 2,500,000 will be issuable upon the successful synthesis of psilocybin, and a further 2,500,000 will be issuable upon the filing of a patent application for such synthesis method in at least one jurisdiction.

It is anticipated that a portion of the Consideration Shares will be subject to the terms of a pooling arrangement, during which time they not be transferred or traded without the prior consent of the Company.  The Consideration Shares will be released from the arrangement in tranches over a period of nine months following completion of the acquisition.

Completion of the acquisition of Vocan remains subject to a number of conditions, including the satisfactory completion of due diligence, receipt of any required regulatory approvals and the negotiation of definitive documentation.  The acquisition cannot be completed until these conditions have been satisfied.

The Company is at arms-length from Vocan, and each of its shareholders.  The acquisition of Vocan is not expected to constitute a fundamental change for the Company, nor is it expected to result in a change of control of the Company, within the meaning of applicable securities laws and the policies of the Canadian Securities Exchange.  No finders fees or commissions are payable in connection with the acquisition of Vocan.  An administrative fee of 470,000 common shares is owing to a third-party consultant who will be assisting with completion of the acquisition.

NEONMIND SIGNS PSILOCYBIN SUPPLY AGREEMENT FOR CLINICAL TRIALS

Vancouver, B.C. – September 29, 2020: Better Plant Sciences Inc. (CSE: PLNT) (OTCQB: VEGGF) (FSE: YG3) (“Better Plant”) or (the “Company”) is pleased to announce that its majority owned subsidiary NeonMind Biosciences (“NeonMind”) has entered into a definitive agreement with Psygen Labs Inc. (“Psygen”) for the supply of psilocybin for NeonMind’s planned  preclinical, and clinical trials  to study the use of a drug product including Psilocybin for the treatment of food cravings and anxiety. The agreement was signed on September 28th, 2020.

Psygen is currently acting as broker between NeonMind and a licensed dealer of restricted drugs (the “Licensed Dealer“). The Licensed Dealer holds a dealer’s licence issued under Part J of the Food and Drug Regulations (a “Dealer’s Licence“). The Supply Agreement provides that Psygen will supply the psilocybin directly once Psygen holds a Dealer’s License. Psygen currently has a pending application for a Dealer’s License.

“Psilocybin is known to activate serotonin receptors,” says Dr. William Panenka, lead scientific advisor to NeonMind. “As a neurotransmitter, serotonin helps to relay messages from one area of the brain to another. Serotonin is responsible for some of the drivers which govern eating. We are very interested in furthering studies to test various dosing regimens for NeonMind to see the effects that psilocybin may have on the serotonin receptors that regulate food cravings.”

This comes just a week after Better Plant’s announcement of its eCommerce lease agreement to take over the day-to-day sales of all Jusu Life and Jusu Body products. JUSU Bar assets are included in the announced acquisition of Jusu by Better Plant.

JUSU Bar currently has one retail juice bar location open in Victoria, British Columbia, and is now delivering cold-pressed JUSU juices in Calgary through its eCommerce store. Better Plant expects to take over the juice bar, franchise rights and delivery operations upon its acquisition of JUSU, which is anticipated to close this fall.

BETTER PLANT SCIENCES ADDS ECOMMERCE SALES OF 200 PLANT-BASED PRODUCTS THROUGH AGREEMENT WITH JUSU

Vancouver, BC – September 1, 2020: Better Plant Sciences Inc. (CSE:PLNT) (OTCQB:BOSQF) (FE:YG3) (“Better Plant”) or (the “Company”)

announces that it has signed an eCommerce lease agreement on August 31, 2020 to take over the day-to-day sales of all Jusu Life and Jusu Body products, commencing today. The eCommerce lease agreement, along with an inventory purchase, will allow Better Plant to book revenues from all eCommerce and wholesale sales of over 200 JUSU plant-based products for body, baby and home as of September 1, 2020.  The Company plans to complete the acquisition of other JUSU assets, as announced August 18, 2020, over the next few months.

 

Pursuant to the eCommerce lease agreement, Better Plant has taken over the management of JUSU direct eCommerce, Amazon and wholesale distribution, with the aim to optimize and grow JUSU’s direct-to-consumer, eCommerce sales. The Company is purchasing certain existing inventory for a fee of $25,000 and will also purchase all future inventory to fulfill all sales at a 35% discount to the consumer price of the products.

 

“Currently, thanks to JUSU’s loyal customer base, its product sales revenues currently sit at approximately $40,000 in monthly sales with a return eCommerce customer rate of 28%. This does not include juice sales or other revenue from JUSU Bar, and no money has been spent on advertising to date to generate these sales. We believe that we can increase revenues significantly by leveraging enhanced digital marketing programs and influencer marketing,” said Gabriel Villablanca, Better Plant’s Director of eCommerce and Digital Marketing.

 

The Company plans to launch an extensive influencer marketing campaign with a focus on micro-influencers in North America for JUSU, leveraging Urban Juve’s existing network of influencers. The program will involve a large volume of partnerships using a combination of affiliate, contesting, and content-based programs. The Company also plans to increase efforts related to customer engagement to leverage its current customer base to increase customer lifetime value. This will include email and text-based marketing to upsell and encourage repeat purchases, and will also include expanded product offerings such as bundles and subscription models.
