The partnership created by Red Light Holland and Mistercap LLC for the new Mushrooms wellness brand called MISTERCAP, will initially launch with a functional mushroom home grow kit, allowing customers to grow their own legal mushrooms in the comfort of their own homes, expected to be sold in Q4 of 2022. From there, the companies intend to expand to other legal, functional and innovative mushroom products, as well as a line of apparel and accessories, to be made available across the EU and North America in early 2023. Further, Mistercap LLC will be receiving marketing advisory services from the multi-platinum-selling, GRAMMY® and Golden Globe® Award-nominated recording artist Wiz Khalifa for the new MISTERCAP brand, who will leverage his social media presence to promote legal mushroom products.

The MISTERCAP brand, in conjunction with Red Light Holland, is also committed to creating educational and responsible use messaging in relation to the use of any products made available by the brand. Transaction Details

As has previously been disclosed, in connection with launching the MISTERCAP brand, Red Light Holland and Mistercap, LLC have entered into an intellectual property licensing agreement (the “IP Licensing Agreement“). Pursuant to the terms of the IP Licensing Agreement, Mistercap, LLC shall exclusively license certain intellectual property held by Mistercap, LLC to Red Light Holland to develop, cultivate, process, package, distribute and sell mushroom and/or truffle-related products under the MISTERCAP brands. The initial term of the IP Licensing Agreement shall be for three years and shall be automatically renewable for one-year successive terms upon Red Light Holland continuing to hit certain benchmark sales targets. As partial consideration for the license, Mistercap, LLC will be paid (i) C$250,000 in cash and (ii) C$1,000,000, which is to be satisfied through the issuance of common shares in the capital of Red Light Holland (the “Common Shares“) at a price of $0.075 per Common Share. The Common Shares will be subject to a four month and one day hold period pursuant to the polices of the Canadian Securities Exchange (“CSE“) and applicable securities laws. In addition, Mistercap, LLC will: (x) receive monthly royalty payments paid over the term of the IP Licensing Agreement, calculated based on the sale of products developed pursuant to the partnership and (y) be paid a monthly marketing fee. Additional payments are due in the event future markets are available to sell in pursuant to the terms of the IP Licensing Agreement. The Company has budgeted C$1,000,000 per year to fulfill royalty fees, marketing expenses and additional payment obligations owed to Mistercap, LLC pursuant to the terms of the IP Licensing Agreement. The Company plans on reallocating a majority of the $1,800,000 marketing budget outlined under the heading “Use of Proceeds and Milestones” in the Company’s management discussion and analysis for the nine months ended December 31, 2021 towards growing the MISTERCAP brand.

Red Light Holland releases Data on Psychedelic Concert

Red Light Holland releases a report with data analysis around the success of the Company’s Psychedelic concert event on April 16th, 2022. During this event participants chose to consume between 1 to 8 grams of Red Light Holland’s premium Psilocybin truffles after an intake discussion with therapist and expert psychedelic guide Jeff Hamburg. After the event participants were sent a survey and the facilitators were interviewed for the report. A small number of participants replied, but with positive results.

  • 91.7% of the attendees in the survey reported they would be interested in attending another event, 75% reported they enjoyed the music more than usual
  • 41.7% reported they felt connected to the group in a meaningful way
  • 33.3% reported lasting benefits beyond the event itself

The long-term benefits included the release of negative emotions and a lasting “Uplifted mood”. Some participants also gained insight that helped them in their personal or professional life. No significant negative effects were reported or observed.

The report with detailed statistical analysis conducted by statistician Yoav Blonder, has been sent to Oregon Health Authority representatives and members of the Washington Psilocybin service workgroup, as well as other government officials around the world Red Light Holland is connected with, to help promote regulations and best practices for group psilocybin services.

While some of the regulations in Oregon are still unclear at this time, Measure 109 intends to promote diversity and provide a head start to local Oregonians, which prompted Red Light to create the ‘Red Light. Set. Go!’ program (the “Program“) – a unique program aimed at working with exceptional Oregonians from diverse backgrounds who wish to enter the legal psilocybin service market. The Program will provide selected candidates with expert advice and funding to help them attempt to enter the legal psilocybin service market.

Dissolution of Red Light Oregon, Inc.

STRATEGIC HIGHLIGHTS

The Company intends to work with Acadian Exotic Mushrooms Ltd. (“AEM Farms“), an operational gourmet mushroom production facility in New Brunswick, Ontario, which is majority owned by Red Light (as previously disclosed on September 7, 2021), and co-owned by leading Canadian mushroom farming groups/individuals Holburne Mushroom Farm and Mike and Fernando Medeiros, who co-own Carleton Mushroom Farms, to develop the Farm into approximately 65,000 sq. feet of two Mushroom production facilities (to be called “AEM Ontario“). The Acquisition will enable the Company to dramatically expand its farm division (“Red Light Farms“), which already includes Happy Caps Gourmet Mushroom Farm in Halifax, Nova Scotia, AEM Farms in New Brunswick, Ontario and Red Light’s truffle farm in Horst, The Netherlands. (CSE: TRIP) (FSE: 4YX) (OTC Pink: TRUFF) (“Red Light Holland” or the “Company“), an Ontario-based corporation engaged in the production, growth and sale of a premium brand of it’s Psilocybin magic truffles, is pleased to announce that it has completed the third export of the company’s freshly harvested high-grade psilocybe truffles, from the Netherlands to Canada, under a Health Canada psilocybin import permit awarded to CCrest Laboratories Inc. in partnership with Shaman Pharma Corp. CCrest Laboratories received 200 of Red Light Holland’s psilocybe truffles kits, a total of 3 kg (200 x 15g packs) of Psilocybin Truffles (Psilocybe Tampanensis) grown in the Company’s Farm in Horst, The Netherlands.

CCrest Laboratories, a cGMP pharmaceutical laboratory in Montreal specializing in highly regulated narcotics, including psychedelics, holds a Health Canada Controlled Drugs and Substances License, and received federally issued import permits for the restricted drug Psilocybin. CCrest has also been listed as a provider of Psilocybin for the Special Access Program in Canada.

Making larger quantities available to the scientists enables deepening the research into the composition of the raw materials – the scientific protocols are now expanded for the detection and quantification of other active ingredients known to exist alongside psilocybin and psilocin, mainly the compounds norpsilocin, baeocystin, norbaeocystin and aeruginascin. While expected to be present in very small quantities, they could prove to have large modulation effects. This could arguably establish a new realm of possibilities beyond simple dosage of psilocybin, where a near infinite number of combinations exist between the various compounds.
